Terms of Service

1. Definitions

“Merchant” means the Shopify store owner or authorized person using Monkeys BXGY. “Store” means the Shopify store connected to Monkeys BXGY. “Services” means Monkeys BXGY and its related application, storefront components, extensions, APIs, analytics, promotion tools, documentation, and support.

“Promotion” means a merchant-configured commercial offer, discount, gift, bundle, volume offer, spend reward, shipping offer, upsell, or related promotion. “Merchant Content” means information, text, images, configurations, rules, promotion descriptions, gift selections, product selections, and other content submitted or configured by the Merchant.

2. Eligibility

You may use the Services only if you are legally capable of entering into a binding agreement, you are authorized to operate the Shopify Store, your use of the Services complies with Shopify's applicable terms and policies, and your use of the Services complies with applicable laws and regulations.

3. Shopify Dependency

Monkeys BXGY is built to operate within Shopify's platform. The Services may depend on Shopify Admin APIs, Shopify APIs, Shopify Functions, Shopify Discount Functions, Theme App Extensions, Shopify Checkout capabilities, Shopify Markets, Shopify Customer Segments, Shopify webhooks, Shopify App Pricing, Shopify POS capabilities, Shopify customer privacy mechanisms, and other Shopify-supported platform services.

Shopify may modify, restrict, deprecate, suspend, or discontinue platform capabilities. We do not guarantee that every feature will be available on every Shopify plan, sales channel, checkout configuration, geographic region, or Shopify environment.

We do not bypass Shopify platform restrictions or use undocumented APIs to provide unsupported functionality.

4. Installation and Account

The Merchant is responsible for maintaining control of its Shopify account, authorizing the App, maintaining accurate account information, protecting account credentials, restricting unauthorized access, and ensuring that persons using the App on its behalf are authorized.

The Merchant is responsible for all activity performed through its account.

5. Promotion Configuration

Monkeys BXGY provides tools that allow Merchants to configure commercial promotions. The Merchant is solely responsible for promotion rules, qualifying products, qualifying collections, qualifying variants, quantities, spending thresholds, reward quantities, gift products, gift eligibility, gift selection rules, inventory availability, pricing, promotion messages, promotion dates, customer eligibility, country and market restrictions, UTM rules, discount stacking settings, promotion priority, and the promotion terms shown to customers.

The Merchant must ensure that its promotions are accurate, lawful, non-misleading, and compliant with applicable consumer-protection, pricing, advertising, tax, product, and Shopify requirements.

6. Promotion Enforcement

Monkeys BXGY is designed to validate promotion eligibility through supported Shopify infrastructure. Where Shopify Functions or another server-side Shopify mechanism is used, the final discount eligibility and discount amount are determined by that authoritative mechanism.

Storefront JavaScript, cart properties, client-side gift selection, UTM parameters, customer identifiers, or other browser-controlled values are not treated as authoritative for final discount eligibility.

Where required information is unavailable, invalid, deleted, restricted, or rejected by Shopify, Monkeys BXGY may refuse to apply a promotion.

7. Gifts and Inventory

Merchants are responsible for selecting appropriate gift products and maintaining adequate inventory. A configured gift may become unavailable because the product is deleted, the variant is deleted, inventory becomes unavailable, the product becomes unavailable for sale, Shopify restrictions prevent use of the product, or the promotion rules are no longer satisfied.

Monkeys BXGY may prevent an invalid or unavailable gift from receiving a discount. We do not guarantee that a specific gift will remain available throughout the lifetime of a promotion. Where configured, merchants may provide fallback or substitute gifts.

8. Promotion Limits

Our plans may impose limits on the number of live promotions or the number of covered products.

Starter — $9.99 per month or $99 per year. Includes a 3-day free trial, up to 3 live promotions, up to 50 covered products, and the supported promotion features included in the plan.

Unlimited — $19.99 per month or $189 per year. Includes a 3-day free trial, unlimited live promotions, unlimited covered products, and the supported promotion features included in the plan.

Plan pricing and availability are subject to the pricing presented through Shopify App Pricing. Shopify's App Pricing configuration is the authoritative source for the applicable subscription charge and billing terms.

9. Free Trial

Where a free trial is offered, the trial duration is displayed through Shopify App Pricing. Unless otherwise stated, the current trial period is three (3) days.

At the end of the trial, the selected paid subscription may begin according to the Shopify App Pricing terms accepted by the Merchant. The Merchant may cancel according to Shopify's available subscription controls.

10. Billing

Subscription charges for Monkeys BXGY are processed through Shopify's supported App Pricing infrastructure. We do not store the Merchant's payment card information.

Billing frequency may be monthly or annually depending on the selected plan. The Merchant is responsible for reviewing the applicable price, trial, renewal, and cancellation terms presented by Shopify before approving a subscription.

Shopify may control the billing authorization, billing interface, and subscription lifecycle.

11. Upgrades and Downgrades

Where Shopify supports plan changes, Merchants may change plans through the available Shopify billing interface. Upgrades and downgrades are subject to Shopify's billing rules and the applicable plan configuration.

If a Merchant moves to a plan with lower usage limits, Monkeys BXGY will not intentionally deactivate an already-live promotion solely because the Merchant exceeded the new limit. However, the Merchant may be prevented from creating or activating additional promotions until usage falls within the applicable plan limits or the Merchant upgrades.

12. No Forced Deactivation for Usage Limits

Where technically supported, existing live promotions will not be automatically deactivated solely because the Merchant exceeds a lower plan's creation or activation limit after a downgrade. Usage limits primarily restrict new creation or activation.

This does not prevent us from suspending or terminating Services for security, fraud, abuse, legal requirements, non-payment, or material violation of these Terms.

13. Analytics and Attribution

Monkeys BXGY may provide analytics concerning promotion exposure, interaction, cart activity, conversion, attributed orders, revenue, campaigns, tiers, countries, markets, devices, and other supported metrics. Analytics are informational.

We do not guarantee that analytics are complete in every Shopify environment. Shopify platform restrictions, consent decisions, browser limitations, ad blockers, privacy settings, checkout restrictions, and other technical conditions may affect measurement. Analytics do not constitute a guarantee of causal impact.

14. No Guarantee of Business Results

Monkeys BXGY does not guarantee increased revenue, increased conversion rate, increased average order value, increased profit, increased customer retention, increased promotion usage, increased traffic, increased sales, or any specific return on investment.

Promotion performance depends on factors outside our control, including pricing, products, inventory, traffic, customer behavior, competition, seasonality, merchant configuration, Shopify functionality, and market conditions.

15. Discount Stacking and Compatibility

Monkeys BXGY may support compatibility with other Shopify discounts or promotion mechanisms where Shopify permits such combinations.

The Merchant acknowledges that discount combinations are subject to Shopify's discount rules, discount classes, checkout behavior, Shopify plan limitations, and other platform restrictions. We do not guarantee that every combination of discounts can be stacked. Where stacking is unavailable, Shopify's rules may determine which discount or promotion is applied.

16. Customer Segmentation

Customer-segment targeting may depend on Shopify Customer Segments and protected customer data access. Where approval is required, the relevant functionality may remain unavailable until Shopify grants the necessary access.

If customer eligibility cannot be safely verified, Monkeys BXGY may fail closed and reject the promotion rather than assume eligibility.

17. UTM and Campaign Targeting

Where enabled, Merchants may configure promotions based on UTM campaign information. Merchants are responsible for ensuring that their campaign targeting and promotional claims comply with applicable law and their own privacy disclosures.

Monkeys BXGY does not guarantee that UTM information will be available in every browser, channel, checkout, or customer journey.

18. Country, Market, and Currency Rules

Country, market, and currency-based promotion behavior depends on Shopify Markets and other Shopify platform capabilities.

Merchants are responsible for ensuring that their promotions comply with applicable pricing, tax, advertising, consumer-protection, and market-specific requirements.

19. Bundles, Mix & Match, Build-a-Box and Upsells

Monkeys BXGY may provide tools for bundles, mix & match, build-a-box, quantity breaks, spend rewards, free gifts, BOGO, BXGY, upsells, cross-sells, checkout offers, post-purchase offers, free shipping, and other conversion experiences.

Availability may vary based on Shopify plan, channel, checkout configuration, extension availability, API capabilities, and Shopify approval requirements.

20. Checkout and Post-Purchase Features

Where Monkeys BXGY uses Shopify Checkout Extensions, post-purchase extensions, or other Shopify-supported checkout capabilities, functionality is subject to Shopify's platform requirements.

Some Shopify checkout capabilities may be restricted to particular Shopify plans or environments. We do not bypass Shopify restrictions. If Shopify approval or access is required for a feature, that feature may remain unavailable until the required approval is granted.

21. POS and Headless Environments

Where supported, Monkeys BXGY may provide functionality for Shopify POS or headless/Hydrogen environments. Support depends on the capabilities Shopify makes available for the relevant environment.

Merchants must verify that the desired feature is supported for their particular Shopify plan and channel.

22. Acceptable Use

The Merchant may not use Monkeys BXGY to:

• Violate applicable law, or Shopify's terms or policies
• Operate fraudulent promotions, or make deceptive or misleading pricing claims
• Promote prohibited goods or services, or facilitate illegal activity
• Circumvent Shopify security or platform restrictions
• Attempt to access another merchant's data
• Interfere with the Services, or introduce malicious code
• Reverse engineer the Services except where legally permitted
• Abuse application limits, or attempt to obtain unauthorized discounts
• Manipulate customer eligibility, or exploit gifts, inventory, checkout, or discount mechanisms
• Collect personal information through the Services in violation of applicable law

23. Merchant Content

The Merchant retains ownership of Merchant Content. The Merchant grants us the limited rights necessary to host, process, transmit, display, reproduce, modify technically where necessary, store, analyze, and provide the Merchant Content solely to operate and improve the Services as described in our Privacy Policy and these Terms.

The Merchant represents that it has all necessary rights to provide Merchant Content to us.

24. Our Intellectual Property

The Services, including software, source code, application architecture, interfaces, documentation, designs, trademarks, logos, templates, systems, algorithms, promotion engines, and analytics systems, are owned by or licensed to us and are protected by applicable intellectual-property laws.

Except as expressly permitted, these Terms do not grant the Merchant ownership of our intellectual property.

25. Feedback

If the Merchant provides suggestions, ideas, bug reports, or other feedback regarding the Services, we may use that feedback without restriction or compensation, provided that doing so does not disclose the Merchant's confidential information.

26. Third-Party Services

The Services may depend on third-party services, including Shopify and infrastructure providers. Third-party services may have their own terms, privacy policies, availability limitations, and technical requirements.

We are not responsible for independent failures of third-party services.

27. Availability

We aim to maintain reliable Services but do not guarantee uninterrupted availability. The Services may be unavailable because of maintenance, upgrades, infrastructure failures, Shopify outages, Shopify API changes, network failures, security incidents, third-party failures, legal requirements, or circumstances beyond our reasonable control.

28. Changes to the Services

We may modify, improve, add, remove, or change functionality. We will not intentionally remove a core feature in a way that materially contradicts an active subscription commitment without providing any notice or remedy required by applicable law.

Certain functionality may change because of Shopify platform changes.

29. Suspension and Termination

We may suspend or terminate access to the Services if the Merchant violates these Terms, engages in fraud or abuse, fails to pay applicable charges, if continued access creates a security risk or would violate applicable law, if Shopify restricts the required platform capability or requires us to suspend the application, or if the Merchant attempts to circumvent application or Shopify restrictions.

The Merchant may stop using the Services by uninstalling the App and cancelling its subscription through Shopify where applicable.

30. Effect of Termination

After termination, access to the application may cease, storefront functionality may stop, active application features may be disabled, subscription billing will be handled according to Shopify's billing lifecycle, and information will be retained or deleted according to our Privacy Policy and applicable legal requirements.

We may retain limited information where necessary for legal, security, fraud-prevention, accounting, or compliance purposes.

31. Refunds

Refunds are governed by our Refund & Cancellation Policy and applicable Shopify billing rules. Where Shopify controls the applicable subscription charge, billing adjustment, or refund mechanism, the Merchant may need to use Shopify's supported billing process.

32. Disclaimer

To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.

We disclaim warranties that are not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, and error-free operation.

Nothing in these Terms excludes rights or warranties that cannot legally be excluded.

33. Limitation of Liability

To the maximum extent permitted by applicable law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost revenue, lost profits, lost sales, lost business opportunities, loss of goodwill, business interruption, loss caused by Shopify outages, loss caused by third-party services, loss caused by merchant configuration, loss caused by inventory shortages, loss caused by incorrect promotion rules, loss caused by customer disputes, or loss caused by unsupported Shopify functionality.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

34. Indemnification

To the maximum extent permitted by applicable law, the Merchant agrees to defend, indemnify, and hold harmless Monkeys BXGY and its owners, officers, employees, contractors, and service providers from claims arising from Merchant Content, unlawful promotions, misleading pricing or advertising, merchant-configured promotion rules, violation of applicable law, violation of Shopify terms, misuse of the Services, infringement of third-party rights, or unauthorized processing of customer information by the Merchant.

35. Confidentiality

Each party may receive confidential information from the other. Each party agrees to use reasonable measures to protect confidential information and to use it only for legitimate purposes connected to the relationship.

Confidentiality obligations do not apply to information that is publicly available, was already lawfully known, is independently developed, is received lawfully from another source, or must be disclosed by law.

36. Privacy

Use of Monkeys BXGY is also governed by our Privacy Policy. The Privacy Policy explains how information is collected, processed, shared, retained, and protected.

37. Changes to These Terms

We may update these Terms from time to time. Material changes may be communicated through the App, website, email, or another reasonable method. The updated Terms will include a revised “Last Updated” date.

Continued use of the Services after the effective date of updated Terms constitutes acceptance where permitted by applicable law.

38. Assignment

The Merchant may not assign these Terms without our prior written consent, except where permitted by law in connection with a merger or sale of substantially all assets. We may assign these Terms in connection with a merger, acquisition, restructuring, financing, or sale of the Services.

39. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.

40. Entire Agreement

These Terms, together with the Privacy Policy and any applicable additional terms, constitute the agreement governing use of the Services.

41. Governing Law and Dispute Resolution

The governing law and dispute-resolution venue for these Terms are being finalised with legal counsel and will be stated here once confirmed. Until then, nothing in this section limits any right or remedy available to you under the law that applies to you.
